Senie and Associates, P.C.
supports clients in the establishment of business entities by
drafting and filing required formation documents with the Secretary
of State of the Commonwealth of Massachusetts, drafting bylaws,
operating agreements and shareholder agreements, and obtaining
federal employer identification numbers (EINs) from the IRS. We
consult with clients and interface with tax and accounting
professionals to determine optimal choice of entity to satisfy
particular business needs. We provide advice about required ongoing
business formalities and recordkeeping requirements. To meet client
needs, we have established the following entities: single member
limited liability corporations (LLCs), multimember LLCs,
partnerships, S-corporations, C-corporations and professional
corporations. At clients’ requests, we have filed annual reports for
existing businesses, and drafted and filed amendments to formation
documents when needed. We have assisted foreign corporations in
registering to do business in Massachusetts. Senie and Associates,
P.C. has also advised clients wishing to dissolve businesses.

Drafted formation documents and operating agreement to establish an
LLC for a client wishing to set up a new retail business. Filed the
required documents with the Secretary of State. Represented the

S-corporation,
formation and conversion from sole proprietorship status
Drafted and filed corporation formation documents and IRS election
forms for an already-established sole proprietorship wishing to
convert to corporate status. Provided advice on the necessary steps
required to convert from one business form to another.
Foreign corporation,
Massachusetts Registration, Resolution of Name Conflict
Assisted a foreign corporation, organized and established in another
state, in its efforts to register to do business in Massachusetts.
Drafted a Name Permission Agreement which was necessitated when the
foreign corporate name closely resembled an already-registered
Massachusetts Corporation.
